Birch Creek Development, LLC, a utility-scale solar development company with projects throughout the United States, is seeking an attorney who thrives in a fast-paced, team-oriented, entrepreneurial business culture who shares our mission to create a future with more renewable energy.  This is a unique opportunity for an attorney with solid real estate transactional experience and/or renewable energy development experience to join a growing and dynamic company.  This is a cross-functional position that will provide legal support to the development, commercial and project execution teams regarding real estate and development matters, while interfacing with the finance team to help support development financing.

Office location in St. Louis (our HQ), but remote-work candidates will also be considered.

Key Responsibilities

      • Provide strategic counsel and advice to the development, commercial and project execution teams
      • Advise Birch Creek of the legal and regulatory risks of possible business decisions
      • Draft and negotiate both simple and complex commercial contracts, including, site leases, title work, NDAs, LOIs, consulting agreements, interconnection agreements, engineering, procurement and construction contracts and power purchase agreements, among others
      • Assist with legal aspects of the Company’s transactional matters with its business partners, including areas of development, real estate, title work, supply agreements, procurement, construction, and operations
      • Serve as both legal counsel and business partner to the project development team, providing highly commercial and creative solutions on business matters and project development
      • Collaborate with internal and external legal resources to deliver timely and accurate work product
      • Assist with special projects as requested and adapt to new tasks and responsibilities as the business grows and changes

Knowledge & Skills

      • Knowledgeable in the following substantive areas: real estate, complex agreements related to the general development of large renewable energy facilities, commercial agreements and NDAs
      • Excellent organizational and planning skills, meticulous attention to detail and quality of work product
      • Demonstrated ability to handle multiple projects, prioritize and meet tight deadlines
      • Exceptional written and verbal communication, problem-solving and strategic-thinking skills

Experience & Education

      • 3+ years of related legal experience
      • Experience negotiating commercial transactions in the power, renewable energy, natural gas or utility space
      • Working knowledge of project finance transactions
      • Experience with entity formation and governance
      • J.D. from a U.S. ABA-accredited law school; licensed and in good standing in the jurisdiction in which the candidate will sit
